PLEASE READ THESE TERMS AND CONDITIONS VERY CAREFULLY BEFORE REGISTERING
FOR ASH TV. PARTICIPTING IN ASH TV INDICATES THAT YOU ACCEPT THESE TERMS AND
CONDITIONS. IF YOU DO NOT ACCEPT THESE TERMS AND CONDITIONS PLEASE DO NOT
REGISTER FOR OR PARTICIPATE IN ASH TV.

Introduction. Any agreement as publisher between you and Ash TV intl. ltd. (hereinafter: Ash TV)
consist of these Ash TV terms and conditions. These terms and conditions are available at the URL
https://www.ash.tv/publisher-terms, or at any other URL that Ash TV may supply from time to
time. “You”, “publisher” or “participant” means any entity identified in an enrolment form
submitted by the same or affiliated persons, and/or any agency or network acting on its (or their)
behalf, which shall also be bound by the terms of this agreement.

Section 1 Meaning of words

a. Active: the status of your website on which advertisements are now played. Apart from
the status active, your website can be paused, deleted, or amended in URL.
b. Ash TV intl. ltd.: Ash TV. May be referred to as “we” “us” “our”.
c. Advertisements: Ash TV advertisements and third-party provided advertisements. May
be abbreviated to “advert”.
d. Advertising methods: Ash TV provides four different advertising methods. All can be
found on our website.
e. Contact methods: letters, e-mails, live chat, and telephone calls (including calls via VOIP
software).
f. Content: including, but not limited to videos, gifs, text, images, sound files, hyper-links,
animations, and links.
g. Invalid views: views either encouraged in any way or rewarded on your website (i.e. a
sum of money), including, but not limited to automatically viewing users (can be referred
to as bots) and views made by the participant himself.
h. Mille: one thousand views.
i. Pay-out methods: wired transactions, online transactions and PayPal.

j. Problems: outages caused by, but is not limited to any failure of equipment, failure of
systems or local access services, previously scheduled maintenance, or events that are
beyond Ash TV’s control (strikes, riots, insurrection, fires, floods, explosions, war,
earthquakes, natural disasters etc.), or interruptions in internet services to an area where
Ash TV’s or your servers are located or co-located. We can refer to this as “force majeure”
in the future.
k. Termination: shutting down an account and/or blacklisting a (series of) website(s).
l. View: every time your advertisement plays through our platform, on a website of a
registered publisher, visited by an active device. May be referred to as impression.

Section 2 General participation rules

1. Program participation
a. First and foremost, by participating in Ash TV you agree to all terms and conditions
stated in this full document. Ash TV reserves the right to amend these terms at any

time. You shall receive notice of these amendments, together with the newly updated
terms and conditions.
b. Ash TV reserves the right to refuse participation to any publisher or participant at any
time in its sole discretion.
c. You are at least eighteen years old from the day you participate.
d. You have the right to opt out of providing Ash TV your publishing services at any time
you please.
e. Ash TV has the right to opt out of using your publishing services at any time we please.
f. Ash TV has the right to share the advertisements displaying on your website,
regardless of the content, to third party companies (i.e. for promotion). However Ash
TV will neither distribute, nor act as if it is its own content.
g. By becoming a publisher, Ash TV may display Ash TV advertisements or third-party
provided advertisements onto your website.
h. You will be held liable for any damages Ash TV experiences, or our advertisers claim
from us, due to a malfunctioning in your system or on your website. You are solely
responsible for a fully operating website, with the exception of force majeure.
2. Guarantees and Warranty
a. Ash TV makes no guarantee regarding the visitors your website achieves upon
advertisements.
b. Ash TV is not liable for a decrease of users after implementing the Ash TV platform
onto your website.
c. Ash TV does not guarantee all your daily visitors will be a view. Depending on the
amount advertisers (daily) spend, and the amount of advertisers need your audience,
we can only publish that amount of advertisements that will class as a view.
d. Ash TV does not guarantee there are advertisers available that that target the audience
your website attracts; our advertisers are subject to availability, so your services will
only be used if there is demand for your target audience or website. Ash TV also
reserves the right to not fully use all of your visitors as views when it finds that it is in
the best interest of the advertisers to not do so.
e. Ash TV is not liable for a set amount of income you expected or want to receive (i.e. for
the amount of visitors you get; visitors are not views). Our pay-out systems only allows
pay-out for actual views (see clause 3 Pay-out).
f. Ash TV does not guarantee that the program will be operable at all times, or in any
down time caused by any of the previous stated problems.
g. Ash TV is not liable for loss of data.
h. Ash TV respects the content of the advertisements, however, Ash TV makes no
warranty including any content of these advertisements.
i. Ash TV is not liable for any damages deriving from watching, placing, clicking, or
trusting (the content of) the advertisements, nor is Ash TV liable for any damages
deriving from a malfunctioning in the services Ash TV offers.
3. Pay-out
a. You shall receive a pay-out based on the amount of views the adverts on your website
have received. Ash TV, however, does not pay-out for any invalid views that your
website has received. You are liable for any damages Ash TV experiences for the usage
of invalid views.
b. Ash TV delivers its services per mille, however, we will convert the price we pay you
per mille into the price we pay you per view, so you will receive a pay-out for every
view you have had on adverts on your website.
c. Ash TV owns software that monitors whether a viewis invalid or not. It shall be classed
as a valid or invalid view based upon our software.
d. Pay-outs will be calculated on the 25th of each month by Ash TV’s software and will
include every view made after the last pay-out and before midnight on the 24th (12pm
GMT) of the month on which the final pay-out is calculated, minus any invalid views.
e. Pay-outs will also be paid out on the 25th of each month.
f. Pay-outs can only be paid out if you provide Ash TV with a valid pay-out method. Ash
TV will ask for your preferred pay-out method upon signing up, however, Ash TV
cannot guarantee that your preferred pay-out method will be used at all times.
g. You solely are responsible for providing Ash TV with a valid pay-out method.
h. Ash TV cannot be held liable for not paying-out on the said date.
i. Pay-outs can be reduced with the amount of money if it costs to transfer the money,
however, Ash TV will only reduce the pay-out up to the transfer costs and no more
than that.

Section 3 Content participation rules

1. Prohibited content
a. Ash TV has a safe content guideline which can be found at www.ash.tv/safe-content.
By participating in Ash TV you accept this guideline as part of the agreement.
b. Ash TV’s safe content guideline prohibits any content which includes, but is not limited
to pornography, hate-related messages, inappropriate violence, or illegal content.
c. Ash TV has the right to decide whether content is a breach of its safe content guideline.
Once Ash TV has cleared content, you will not reject or refuse to let this content play
on your website.
d. Your website must also be compliant with our safe content guideline. Ash TV has the
sole discretion to reject you as a publisher if we do not find your website in compliance
with our guideline. You may request a re-audit, for more information see our safe
content guideline.
e. In the event your website is classed as a breach of our guidelines whether prior to
becoming a publisher, or after, your account may be permanently terminated and/or
website(s) permanently put on our blacklist (for consequences see section 4).
2. Publicity
a. Ash TV has the right to publish your name, logo, and advert in any, or on any of the Ash
TV (related) websites, presentations, marketing material, customer lists, financial
reports, search result pages, and referral pages.
b. If you wish to use Ash TV’s name, trademarks, logos, domain names, and other
distinctive brand features, you may do so as long as you are compliant with Ash TV.
Ash TV reserves the right to prohibit the usage of the aforementioned.
c. Refusal of the request to not use the aforementioned brand features may lead to
liability of damages, and is a breach of contract.
3. Confidentiality
a. You agree to not disclose any information Ash TV has sent you, any information
regarding (our) revenue, or the amount of money you receive from Ash TV (per mille).
b. You may however disclose the increase in the amount of gross (predicted) revenue
you received upon being a publisher, and any information that Ash TV has supplied to
you that requires to be disclosed by law or by a governmental authority.

Section 4 Consequences

1. Termination of an account and/or blacklisting website(s)
a. Ash TV does not promote the termination of an account, but it does respects its own
terms and conditions and therefore expects you to respect them.
b. Ash TV reserves the right, but not the obligation to delete your account and remove all
of your information from its database, as well as remove all of its information from
your database in case of breach of these terms and conditions, or any other terms
applicable to the contract between you and Ash TV.
c. After termination or blacklisting, you are obligated to delete any files we have sent to
you, or by request of Ash TV return all files and/or copies. This includes programming
codes, but the request is unlimited, and can therefore be anything, no matter the form.
d. Ash TV, however, does not delete any account without a valid reason such as a breach
of its terms and conditions, nor does it blacklist a website without valid reason. A
notification of termination and/or blacklist will be given to you beforehand the
termination of your account and/or blacklisting of your website(s). After given notice
the possibility to reverse the effect of the termination and/or blacklisting exist,
however, after the full termination which includes, but is not limited to deleting the
account, deleting your information from our database, and deleting our information
from your database, it is not possible to reverse the effect of termination, therefore the
termination will be active.
e. Unless stated otherwise, termination and/or blacklisting is permanent. It is possible
to receive a temporary termination and/or blacklisting instead of a permanent
termination and/or blacklisting, however, only Ash TV reserves the right to amend,
extend, or terminate the termination and/or blacklisting at any time.
2. Liability
a. In the event Ash TV is damaged by your breach of these terms and conditions, you will
be held liable for these damages.

Section 5 Other terms

1. Guidelines
a. As mentioned before in these terms and conditions, Ash TV has safe content guidelines
that can be found at www.ash.tv/safe-content.
b. By participating in Ash TV, you accept these guidelines as part of the contract between
you and Ash TV.
c. Ash TV reserves the right to amend these guidelines at any time. You will receive a
notice of amendment, and the amended version in the event we amend our guidelines.
2. Privacy policy
a. Ash TV has a privacy policy that can be found at www.ash.tv.
b. By participating in Ash TV, you accept this privacy policy as part of the contract
between you and Ash TV.
c. Ash TV reserves the right to amend this privacy policy at any time. You will receive a
notice of amendment, and the amended version in the event we amend our privacy
policy.
